Totino's® Roll into the X Games! Contest
OFFICIAL RULES

NO PURCHASE NECESSARY. A purchase or payment of any kind will not increase your chances of winning.

1. Eligibility: Totino’s Roll into the X Games! (the “Contest”) is open only to legal residents of the fifty (50) United States and the District of Columbia who are at least thirteen (13) years old and who are registered users of YouTube.com at time of entry, and who did not purchase any equipment for purposes of entering the Contest. Employees of General Mills Sales, Inc., ESPN, Inc. (“ESPN”), Google Inc. (“Google”), YouTube, LLC (“YouTube”), ePrize, LLC, judging agencies, and any other promotional partners working with Sponsor and Administrator and any of their parent and affiliate companies as well as the immediate family (spouse, parents, siblings and children) and household members of each such employee are not eligible. The Contest is subject to all applicable federal, state, and local laws and regulations. Void where prohibited.

3. Agreement to Official Rules: By participating in the Contest, entrant fully and unconditionally agrees to and accepts these Official Rules and the decisions of the Sponsor, Judges and/or Administrator, which are final and binding in all matters related to the Contest. Whether an entrant receives a prize is contingent upon fulfilling all requirements set forth herein.

4. Timing: The Contest begins on November 3, 2008 at 12:00 a.m. Eastern Time ("ET") and ends on January 25, 2009 at 12:00 p.m. ET (the "Contest Period"). The Contest consists of three (3) phases as set forth in the chart below.

Administrator’s computer is the official time-keeping device for the Contest.

5. How to Enter: Create a video entry (maximum of 60 seconds in length) (“Entry”) that shows how you bring the energy of the X Games to your favorite activities (the "Theme"). Refer to the sample videos posted on http://www.youtube.com/RollIntoTheXGames through 12/10/08 for ideas on the intended content for the videos. During the Submission Phase, visit www.totinos.com (the "Website") and follow the links and instructions to upload and submit your Entry. Access to the Contest site may also be available via banner ads posted on, but not limited to, ESPN and/or Google/YouTube sites. Entrants must be a YouTube account holder or must create a free YouTube account. Entrants are also required to fully complete a registration form, including a valid home address (P.O. Boxes are not permitted) ("Registration Form"). If you are under eighteen (18) years of age, your parent/legal guardian will be required to consent to your participation in the Contest. You must provide a valid email address for your parent/legal guardian that is different from the email address used to submit the Entry. One individual may submit up to five (5) Entries during the Contest Submission period, but each video may only be submitted once. By completing the Registration Form and submitting your Entry, you agree that your Entry conforms to the Video Guidelines and Content Restrictions as defined below (collectively, the “Guidelines and Restrictions”) and that Sponsor, in its sole discretion, may remove your Entry and disqualify you from the Contest if it believes, in its sole and absolute discretion, that your Entry fails to conform to the Guidelines and Restrictions or it determines the Entry to be inappropriate for any other reason. Sponsor is not responsible for any changes or effects caused to entrant’s computer system or video equipment as a result of submitting an Entry.

Video Guidelines:
  • The video must be in .WMV, .AVI, .MOV, or .MPG format;
  • The video must not exceed 60 seconds in length;
  • The video must not exceed 100 MB in size; and
  • The video cannot have been submitted previously in a promotion of any kind.
  • The video must be submitted by an individual (not group). The name on the YouTube account from which the Entry was submitted will be declared as the Entrant.
  • Each video may be submitted one (1) time, and each person may submit up to five (5) total entries. Multiple submissions of same video will be void.
  • Appropriate safety precautions must be taken, including safety gear worn, as needed.
  • All videos will be screened before being posted for viewing. Entries violating any guidelines will not be posted and will be disqualified. Sponsor may take appropriate time for the screening process.
Content Restrictions:
  • The video must be the entrant’s original work.
  • The video must not contain material that violates or infringes another’s rights, including but not limited to privacy, publicity or intellectual property rights, or that constitutes copyright infringement;
  • The video must not contain any brand names or trademarks; other than those of Totino’s or ESPN; the video may not portray ESPN or Sponsor or Sponsor’s brands or products in any way that might tend to subject any of them to public contempt, scandal, disrepute or ridicule;
  • The video must not contain any other music, except for the selections available for free download via a link found under the Download tab on http://www.youtube.com/RollIntoTheXGames. No other original or licensed music can be used;
  • The video must not contain dangerous stunts, or activity that could result in physical harm or property damage;
  • The video must not contain images or artwork not created by entrant;
  • One or more people of any age may be featured in the video, however entrant must have the permission to use the audio and visuals of everyone featured in the video in any and all media without compensation. If any person in the video is a minor, then consent must be obtained from the minor’s parent or guardian. If the person filming or producing the video is someone other than the entrant, the entrant must obtain permission and release from such person to use the video in any and all media without compensation. Entrant must submit all required consent and releases at Sponsor’s request, including a release from all persons featured in the video and all persons filming and producing the video.
  • The video must not contain material that is inappropriate, indecent, illegal, obscene, hateful, pornographic, profane, violent, vulgar, threatening, harassing, tortious, defamatory, slanderous or libelous;
  • The video must not contain material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation or age; and
  • The video must not contain material that is unlawful, in violation of or contrary to the laws or regulations in any state where video is created.
  • The video must not transmit anything that contains viruses or anything else that’s harmful.

For all Entries: All Entries will become the exclusive property of Sponsor, and none will be acknowledged or returned. Sponsor shall have the right to edit, adapt and publish any or all of the videos, and may use them in any media without attribution or compensation to the entrant, his/her successors or assigns, or any other entity. SUBMITTING AN ENTRY IN THIS CONTEST CONSTITUTES ENTRANT’S IRREVOCABLE ASSIGNMENT, CONVEYANCE AND TRANSFERENCE TO SPONSOR OF ANY AND ALL RIGHT, TITLE AND INTEREST IN THE VIDEO INCLUDING, WITHOUT LIMITATION, ALL COPYRIGHTS. Sponsor is not responsible for lost, late, incomplete, invalid, un-intelligible or misdirected videos, which are disqualified.

CAUTION: ANY ATTEMPT BY ANY ENTRANT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE A VIOLATION OF CRIMINAL OR CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY THE LAW.

Sponsor will be collecting personal data about participants online, in accordance with its privacy policy. Please review Sponsor’s privacy policy at http://www.generalmills.com/corporate/privacy/privacy.aspx. By participating in the Contest, entrants agree to Sponsor’s collection and usage of their personal information and acknowledge that they have read and accepted Sponsor’s privacy policy.

Limit: Each entrant may submit up to five (5) Entries during the Submission Phase, but no more than one (1) Entry per day during the Submission Phase. Each submitted Entry must be different. Any attempt by any entrant to obtain more than the stated number of Entries by using multiple/different email addresses, identities, registrations and logins, or any other methods will void that entrant’s Entries and that entrant may be disqualified. Use of any automated system to participate is prohibited and will result in disqualifications. In the event of a dispute as to any registration, the authorized account holder of the email address used to register will be deemed to be the registrant or player. The "authorized account holder" is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. The potential winner may be required to show proof of being the authorized account holder.

6. Winner Determination: Winners will be determined via the process set forth below.

(a) Selection of Finalists Phase: During the Selection of Finalists Phase, qualified judges determined by Sponsor in its sole discretion (“Judges”) will select three (3) Entries (the “Finalists”) based on the following criteria (“Judging Criteria”):

  • Creativity (25%)
  • Originality (25%); and
  • Fit with the Theme (50%) (How you bring the energy of the X Games to your favorite activities).

In the case of a tie, the entrant whose Entry received the highest score in the Fit with the Theme category will be deemed the Finalist. Each Finalist will be a potential winner.

The three (3) Finalists will be sent a Finalist's Affidavit of Eligibility, Liability & Publicity Release ("Affidavit"). Entrant submitting Entry will be responsible for obtaining all releases for anyone featured in or anyone filming the submitted video Entry. Following the Selection of Finalists Phase, each potential Finalist (or the parent/legal guardian if the potential Finalist is a minor in his/her state or residence) will be required to execute and return to Sponsor, within three (3) days (excluding holidays or weekends) of the date notice or attempted notice is sent, an Affidavit in order for their Entry to be posted during the Voting Phase and selected as a potential winner. If a potential Finalist cannot be contacted, fails to execute and return the Affidavit within the required time period, the potential Finalist will be disqualified and an alternate potential Finalist may be selected. Potential Finalists may be required to show proof of being the authorized YouTube account holder.

(b) Voting Phase: During the Voting Phase, the Finalists’ Entries will be posted at the http://www.youtube.com/RollIntoTheXGames contest site. The public will be invited to vote for their favorite Entry once per video per day. Individuals do not need to be a registered YouTube member to vote. The Entry that receives the highest net positive (“thumbs up”) votes during the Voting Phase will be the potential Grand Prize winner. The Entry that receives the second highest number of net positive votes during the Voting Phase will be the potential First Prize winner. In case of a tie, the Sponsor, in its sole discretion, will select the potential winner from the tied Entries based on which Entry received the highest "Fit with the Theme" score from the Judges.

For the Voting Phase: During the Voting Phase, individuals may vote a maximum of once per video per day. Multiple voters are not permitted to share the same email address. Any attempt by any voter to submit more than the stated number of votes by using multiple/different email addresses, identities or any other method will void that voter’s Entries (if any) and he/she will be disqualified from further participation in the Voting Phase and Contest. Use of any automated system to vote is prohibited and will result in disqualification. Sponsor is not responsible for lost, late, incomplete, invalid, unintelligible or misdirected votes. In the event of a dispute as to any vote, the authorized account holder of the email address used to vote will be deemed to be the voter.

During the last few days of the Voting Phase, from January 22 to January 24, 2009, Sponsor may, in its sole discretion, provide additional media coverage for each the three Finalist videos on national television, broadcasted during ESPN X Center show aired on select ESPN channels. Such additional media coverage of the Finalist videos is subject to availability and demands of ESPN.

7. Winner Requirements: Potential Grand Prize and First Prize winners may be notified by national television broadcast via ESPN X Center show aired on select ESPN channels on January 25, 2009. In any event, the potential Grand Prize and First Prize shall be notified by mail, email or phone on or around January 26, 2009. If a potential winner cannot be contacted, or prize is returned as undeliverable, potential winner forfeits the prize. If a potential winner is disqualified for any reason, the entrant whose Entry receives the next highest number of net positive votes during the Voting Phase will be deemed the potential winner. Acceptance of any prize shall constitute and signify winner’s agreement and consent that Sponsor may use the winner’s, name, city, state, likeness, Entry and/or prize information in connection with the Contest worldwide, including the Internet, without limitation and without further payment or consideration, except where prohibited by law.

8. Prizes: ONE (1) GRAND PRIZE: A Trip for four (4) to the 2010 Winter X Games in Aspen, Colorado [specific date to be determined]. Trip package includes roundtrip, coach-class air transportation for four (4) from a major airport near winner’s home (determined by Sponsor in its sole discretion) to major airport near event; four (4) nights’ accommodations at a hotel determined by Sponsor in its sole discretion (single room, quad occupancy); ground transportation to and from airport and hotel; four (4) 3-day Snowmass lift tickets (terms and conditions of tickets apply); and $4,000 spending money. Winner must complete the trip within the dates determined by Sponsor in its sole discretion or the prize will be forfeited. Trip must be booked at least twenty-one (21) days prior to departure. Trip subject to availability and blackout dates. Travel must be roundtrip. Sponsor will determine airline and flight itinerary in its sole discretion. No refund or compensation will be made in the event of the cancellation or delay of any flight. Travel and accommodations are subject to availability. Travel is subject to the terms and conditions set forth in this Contest, and those set forth by the Sponsor’s airline carrier of choice as detailed in the passenger ticket contract. All expenses and incidental travel costs not expressly stated in the package description above, including but not limited to, ground transportation, meals, incidentals, passenger tariffs or duties, surcharges, airport fees, service charges or facility charges, personal charges at lodging, security fees, taxes or other expenses are the responsibility solely of winner. Travel companions must be eighteen (18) years of age or older as of the date of departure, unless the travel companion is a child of the winner, sibling of winner or friend of winner with appropriate parental permissions and releases. All travel companions must travel on same itinerary and at the same time as the winner. If winner is a minor in his/her state of residence, travel companions must include the winner’s parent/legal guardian. All travel companions must execute a liability/publicity releases prior to issuance of travel documents. Travel restrictions, conditions and limitations may apply. If in the judgment of Sponsor air travel is not required due to winner’s proximity to prize location, ground transportation will be substituted for roundtrip air travel at Sponsor’s sole discretion. Sponsor will not replace any lost, mutilated, or stolen tickets, travel vouchers or certificates. Sponsor is not responsible if the Winter X Games are delayed, postponed or cancelled for any reason, in which event that portion of prize is forfeited in its entirety and no substitution will be provided except as in Sponsor’s sole discretion. Approximate Retail Value (“ARV”): $15,000. Actual value may vary based on airfare fluctuations and distance between departure and destination. Winner will not receive difference between actual and approximate retail value. ONE (1) FIRST PRIZE: $5,000 in the form of a check made out to the winner. ARV: $5,000. ONE (1) SECOND PRIZE:One year of free Totino's Pizza Rolls awarded in the form of 52 free product coupons good on Pizza Rolls and/or MEGA Pizza Rolls. Terms and conditions of coupons apply. ARV: $212.70.

For all Prizes: Prizes are non-transferable and no substitution will be made unless Sponsor, in its sole discretion, determines otherwise. Sponsor reserves the right to substitute a prize for one of equal or greater value should it become unavailable for any reason. Winners are responsible for all taxes and fees associated with prize receipt and/or use. Limit: One prize per person.

9. Release: By receipt of any prize, the applicable winner agrees to release and hold harmless Sponsor, Administrator, ESPN, Inc., Google Inc., YouTube, LLC and their respective subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies, and prize suppliers, and each of their respective parent companies and each such company’s officers, directors, employees and agents (collectively, the “Released Parties”) from and against any and all claims or causes of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the Contest or receipt or use or misuse of any prize.

10. General Conditions: Sponsor reserves the right to cancel, suspend and/or modify the Contest, or any part of it, if any fraud, technical failures or any other factor beyond Sponsor’s reasonable control impairs the integrity or proper functioning of the Contest, as determined by Sponsor in its sole discretion. Sponsor, in its sole discretion, reserves the right to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest or to be acting in violation of these Official Rules or those of any other promotion or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

11. Limitations of Liability: The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrant, printing errors or by any of the equipment or programming associated with or utilized in the Contest; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Contest; (4) technical or human error which may occur in the administration of the Contest or the processing of entries; (5) late, lost, undeliverable, damaged or stolen mail; or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Contest or receipt or use or misuse of any prize. Sponsor is not responsible for misdirected or undeliverable entries or for any technical problems, malfunctions of computer systems, servers, providers, hardware/software, lost or unavailable network connections or failed, incomplete, garbled or delayed computer transmission or any combination thereof. Sponsor and Administrator are not responsible for any typographical/other error in entries, selection announcement or for any liability for damage to any computer system resulting from participation in, accessing or downloading information in connection with this Contest.

12. Disputes: Except where prohibited, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Eastern District of Michigan (Southern Division) or the appropriate Michigan State Court located in Oakland County, Michigan; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest, but in no event attorneys’ fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the State of Michigan without giving effect to any choice of law or conflict of law rules (whether of the State of Michigan or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Michigan.

13. Entrant's Personal Information: Information collected from entrant is subject to ePrize, LLC’s Privacy Policy (http://www.eprize.com/privacy/privacypolicy.html), Sponsor’s Privacy Policy (http://www.generalmills.com/corporate/privacy/privacy.aspx) and YouTube’s Privacy Policy (http://www.youtube.com/t/privacy).

14. Winner List: Winner List requests will only be accepted after the promotion end date of January 25, 2009. For the Winner List, send an email with subject line: “Totino’s Roll into the X Games Contest, Winner List Request,” to WinListRequests@eprizefulfillment.com. Requests must be received by July 1, 2009.
